1. Agreement to Terms

By accessing or using Nexlumo's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services Provided

Nexlumo provides digital product development services including:

• Custom web and mobile application development
• Website design and development
• Progressive Web App (PWA) development
• Ongoing maintenance and technical support

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Project Agreements

Specific project terms, deliverables, timelines, and pricing will be outlined in separate project agreements or statements of work. These Terms of Service apply to all projects unless explicitly superseded by a signed agreement.

4. Client Responsibilities

You agree to:

• Provide accurate, complete, and timely information required for project completion
• Respond to our communications and requests within agreed timeframes
• Provide necessary access to systems, accounts, and resources
• Review and approve deliverables within specified timeframes
• Make timely payments according to agreed payment terms

5. Payment Terms

Project-Based Work: Payment schedules will be outlined in project agreements, typically requiring:

• 50% deposit before work begins
• 50% upon project completion and delivery

Retainer Services: Monthly retainers are billed in advance on the 1st of each month. Unused hours do not roll over unless specified in your agreement.

Late payments may incur a fee of 1.5% per month. We reserve the right to suspend services for accounts with overdue invoices.

6. Intellectual Property

Client Ownership: Upon full payment, you own all deliverables created specifically for your project, including custom code, designs, and content.

Our Ownership: We retain rights to:

• Pre-existing tools, frameworks, and libraries used in development
• General methodologies and development techniques
• The right to showcase completed work in our portfolio (unless confidentiality is agreed upon)

7. Confidentiality

We maintain strict confidentiality of all client information and proprietary data. We will not disclose your confidential information to third parties without your consent, except as required by law.

8. Warranties and Disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards. However:

• Services are provided "as is" without warranties of any kind
• We do not guarantee specific business results or outcomes
• We are not responsible for third-party services, hosting, or platforms
• Bug fixes and revisions are provided according to project agreements

9. Limitation of Liability

To the maximum extent permitted by law, Nexlumo shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the amount paid for services in the preceding 12 months

10. Termination

Either party may terminate services with written notice. Upon termination:

• Client is responsible for payment of all work completed to date
• We will deliver all completed work upon receipt of final payment
• Retainer agreements require 30 days notice for cancellation

11. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved, disputes will be subject to binding arbitration under Indian law.

12. Governing Law

These Terms are governed by the laws of India. Any legal proceedings shall be conducted in courts located in India.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the new terms.
